These Terms and Conditions (“Terms”) govern enrollment, access, and participation in The Unforgettable Passport Membership (“Membership”), operated by Unforgettable Vacation Co. LLC (“Company,” “we,” Our,” or “us”). By enrolling in, purchasing, or participating in the Membership, you (“Member,” “you,” or “your”) agree to be bound by these Terms.

1. Acceptance of Terms

A. These Terms constitute a legally binding contract between you and Unforgettable Vacation Co. LLC that governs your purchase, enrollment, ongoing use, and access to the Unforgettable Passport Membership (the “Membership”). You must complete the registration process and explicitly agree to these Terms before you may access the Membership or its private community platforms. You accept and agree to be bound by these Terms by either: (a) clicking to accept or agree where such an option is made available to you; or (b) actually accessing, utilizing, or redeeming any Membership benefits, web spaces, or network perks.

B. By accepting these Terms, or by accessing the Membership benefits, the digital clubhouse, or the Company website, you represent and warrant the following:

• (a) You are at least 18 years of age and possess the full legal capacity to enter into a binding contract;

• (b) All registration, billing, and profile information you submit to the Company or its processors is completely truthful, accurate, and current; and

• (c) If you are accepting these Terms on behalf of a company, family group, or other legal entity, you represent that you possess the explicit legal authority to bind such entity to this contract, in which case the terms "you" or "your" shall refer collectively to that entity.

C. Access to and use of the Membership is strictly subject to the Unforgettable Vacation Co. Privacy Policy, available at https://www.unforgettablevacationco.com/privacy, which is fully incorporated into these Terms by this reference.

D. We reserve the right to update, amend, or modify these Terms at any time, in our sole discretion. We will notify you of any updates either via your registered email address, through a notification within the Member dashboard, or by posting the revised version directly on our website. The most current version of these Terms can always be verified at https://www.unforgettablevacationco.com/uvc-terms with the date of the last modification clearly noted. Such modifications shall become effective immediately upon being posted. If you do not agree to the revised terms, your sole and exclusive recourse is to cancel your Membership account and cease all use of the network. Your continued access to the Membership, private social media communities, or active redemption of any Passport Member Benefits following the notification of an updated version shall constitute your explicit acceptance of the revised Terms.

2. Membership Overview

The Unforgettable Passport Membership is a tiered, subscription-based travel collective and community network. The Membership grants access to curated travel benefits, automated itinerary monitoring, promotional rate drops, local network perks, and access to private social media community hubs.

​

Paid tiers also allow Members to scale loyalty points on qualifying travel bookings managed and completed through Unforgettable Vacation Co. LLC. Membership is entirely optional and is not required to request or book standard travel packages through the Company.

​

3. Eligibility

Participation in the Membership is open to individuals who are at least 18 years of age and who provide accurate, verifiable billing and enrollment information. Members must maintain a valid account in good financial standing to access private groups, redeem network benefits, or track points. The Company reserves the right to refuse, suspend, or terminate any membership tier at its sole discretion for conduct or policy violations.

4. Membership Tiers, Pricing, and Billing Cycles

The Membership operates across four distinct tiers with flexible billing parameters. All paid tier financial transactions are processed securely via Stripe.

• The Explorer Passport: Always Free. No monthly or annual membership fees apply.

• The Insider Passport: Billed at $9 USD per month or an annual prepaid rate of $79 USD per year.

• The Voyager Passport: Billed at $19 USD per month or an annual prepaid rate of $169 USD per year.

• The Legacy Passport: Billed at $39 USD per month or an annual prepaid rate of $329 USD per year.

A. Automatic Renewal

All monthly and annual paid subscriptions automatically renew using the payment authorization on file via Stripe. Subscription renewals occur on the exact calendar day corresponding to the initial registration date unless canceled in writing or via the Member dashboard prior to the processing window.

B. Non-Refundability

Membership fees, whether processed on a recurring monthly cycle or a prepaid discounted annual cycle, are immediately non-refundable upon processing. The Company does not issue partial refunds, pro-rated distributions, or credits for unused subscription windows.

​

C. Upgrades and Downgrades

• Upgrades: Upgrading to a higher Membership tier takes effect immediately. Stripe will apply a pro-rated charge representing the financial difference for the remaining duration of the active billing cycle.

• Downgrades: Downgrades or conversions to the free Explorer tier take effect at the absolute conclusion of the current paid billing cycle.

5. Earning Points & Loyalty Tracking

Paid tiers allow members to accumulate travel rewards on completed itineraries.

​

A. Accrual Rates

Point multiplier mechanics are locked to the Member's active tier status at the absolute time the underlying travel itinerary is completed, not when it is booked:

• Explorer Tier: Earns 1 point per $1 spent on qualifying travel purchases.

• Insider Tier: Earns 1.5 points per $1 spent on qualifying travel purchases.

• Voyager Tier: Earns 3 points per $1 spent on qualifying travel purchases.

• Legacy Tier: Earns 5 points per $1 spent on qualifying travel purchases.

B. General Conditions

To receive a paid tier's elevated multiplier, the premium Membership must be continuously active and in good financial standing through the final date of travel. If a subscription lapses, fails payment, or reverts to the Explorer tier prior to travel execution, rewards default strictly to the base Explorer rate. Points are calculated exclusively on base, fully-paid travel components and are deposited into the member account within 30 days post-trip. Cancelled, non-disbursed, or fully-refunded travel itineraries do not qualify for point accruals.

6. Point Value and Redemption

• Points are valid for future travel credit redemption through Unforgettable Vacation Co. LLC at a standard calculation rate of 10,000 points equal to $100 USD in travel credit.

• Points carry zero independent cash value, cannot be legally bartered, sold, or transferred externally, and exist strictly as an internal calculation asset.

• The Company retains complete authority to adjust future redemption parameters, thresholds, and valuation scales with reasonable administrative notice to the network.

7. Annual Points Redemption Boost (Legacy Tier Exclusive)

• Active Legacy members in continuous good standing receive an annual points expansion adjustment equal to ten percent (10%) of their cumulative, unused internal points balance calculated on the final day of their membership year.

• This adjustment is calculated and credited to the active account profile within 30 days following the cross-over of their annual renewal point.

• Any downgrade or structural payment cancellation executed prior to the final calendar day of the active membership year completely forfeits eligibility for this adjustment.

8. Sign-Up Bonus Points

• Eligibility & Point Allocations: Sign-up bonus points are promotional incentives reserved strictly for new members registering for a paid membership tier for the first time, or for existing free Explorer members upgrading to a paid membership tier for the first time. Eligible point allocations are defined as follows:

  • New Insider Members: 1,000 bonus points

  • New Voyager Members: 2,500 bonus points

  • New Legacy Members: 5,000 bonus points

• Tier-to-Tier Upgrades Excluded: Members will not receive additional sign-up bonus points when upgrading or transitioning from one active paid tier to another (e.g., upgrading from Insider to Voyager, or Voyager to Legacy). The sign-up bonus is a one-time promotional award per unique individual account.

• Disbursement & Completion Requirement: Sign-up bonus points are not issued immediately upon registration or account creation. Bonus points will be officially credited and added to the member's account balance only after the successful completion of their first qualified trip booked through Unforgettable Vacation Co. Trips that are canceled, refunded, or not completed do not satisfy this requirement.

9. Launch Promotion: Double Points Incentive

• Promotional Overview: Eligible members who register for a membership during the Promotional Window will receive double the standard base reward points on their first completed qualified trip.

• The Promotional Window: To qualify for this incentive, the member must complete their initial registration for any Unforgettable Passport membership tier (Explorer, Insider, Voyager, or Legacy) between May 28, 2026, and June 30, 2026, at 11:59 PM EST. Registrations completed outside of this window are strictly ineligible for this promotion.

• Travel Completion Deadline: The "Double Points" multiplier applies only to the member's first qualified trip booked through the collective, and travel must be fully completed on or before March 31, 2027. Trips with return dates landing after March 31, 2027, will revert to the standard tier point accumulation rate.

• Earning Structure & Disbursement: The "Double Points" calculation applies exclusively to the base points earned per dollar spent on travel. It does not multiply sign-up bonus point allocations. Promotional points will be officially credited to the member's account balance only after the successful completion of the qualified trip. Canceled, refunded, or no-show bookings do not qualify.

10. Group Trip Access Priority

The Company curates limited-capacity signature group journeys and events. Access to open reservation windows is released strictly using an internal tier priority structure:

​

1. Legacy Passport Members: Receive absolute first priority booking notification.

2. Voyager Passport Members: Receive secondary priority booking access.

3. Insider Passport Members: Receive tertiary booking access.

4. Explorer Passport Members: Receive final general public access to remaining inventory.

​

Enrollment in any tier does not guarantee a spot on any curated group itinerary, which remains bound strictly by supplier inventory limits.

11. Social Media Community Access and Code of Conduct

The Membership incorporates interactive communication spaces hosted on third-party social media platforms (such as Facebook Groups). Access to these digital rooms is a conditional privilege tied directly to Membership tier status.

• The Unforgettable Travel Collective Group: Access is granted to all registered tiers (Explorer, Insider, Voyager, Legacy) in valid standing.

• The Passport Member Premium Lounge Group: Access is restricted exclusively to active Voyager and Legacy members.

A. Administrative Revocation

Upon user cancellation, payment failure, default, or a structural account downgrade out of a premium tier, access permissions to the Passport Member Premium Lounge Group will be mechanically revoked within forty-eight (48) hours of the conclusion of the paid cycle.

​

B. Community Code of Conduct

All private groups operate under a strict zero-tolerance policy. Members are expressly prohibited from executing self-promotion, unapproved business advertising, unsolicited direct messaging to other members, hate speech, harassment, spamming, or the dissemination of defamatory remarks regarding the Company, its staff, or its travel suppliers. Violation of this code will result in immediate, permanent banishment from all community groups and a complete forfeiture of active Membership status without a refund.

12. Core Membership Perks, Asset Monitoring, and "Splurge Funds"

Certain tiers afford programmatic administrative services, room upgrades, local vendor surprises, and resort credits.

• "Splurge Funds" (Resort, Spa, Dining, or Shipboard Credits): Credited values ($100+) are dependent entirely on qualifying supplier-curated parameters and are deployed strictly when available via supplier networks.

• The Unforgettable Extra: Unique custom amenities or local destination integrations are leveraged through local connections and dropped on curated bookings strictly when available.

• Ongoing Room and Rate Monitoring: Available exclusively to Voyager and Legacy tiers. The automated and manual tracking of market rate drops or structural adjustments applies solely to qualifying reservations and is executed strictly when applicable based on supplier terms and cancellation window boundaries.

All programmatic benefits have no direct cash value, cannot be converted to physical currencies, and are entirely non-transferable.

13. Point Expiration Policies

Points tracked within the Membership profile remain fully fluid as long as the account maintains positive subscription or booking interaction. The Company reserves the legal right to expire points and wipe internal ledger tracking after 24 consecutive months of structural account inactivity. Inactivity is defined as zero qualified travel bookings executed, or zero paid membership subscription transactions cleared for a continuous 24-month window.

14. Program Modification, Evolution, or Termination

Unforgettable Vacation Co. LLC reserves the right to modify, adjust, suspend, rebrand, or completely terminate the Membership infrastructure at any point. This reservation of rights includes structural adjustments to price models, point earning structures, third-party platform selections, and perk definitions. If an overarching structural termination occurs, reasonable administrative notice will be deployed across standard communication pipelines.

15. Limitation of Liability

The Membership and all associated digital community spaces are delivered strictly on an “as is” and “as available” framework. Unforgettable Vacation Co. LLC disclaims all liability for indirect, incidental, punitive, or consequential damages resulting from network participation or technical failures on third-party hosting platforms (e.g., Stripe, Facebook, Wix). The Company acts strictly as a booking agent regarding the execution of physical travel; all operational liabilities, delays, disruptions, closures, or performance errors remain bound exclusively to the end travel suppliers (hotels, airlines, cruise lines, tour operators).

16. Governing Law and Disputes

These Terms, along with any external legal actions resulting from Membership enrollment, are governed completely by the laws of the State of New Jersey, without regard to conflict of law principles. Any official legal disputes, mediations, or claims must be filed and executed exclusively within courts located in Gloucester County, New Jersey.​
